Terms & Conditions

These provisions apply to purchases from COBS AB, Org. Nr. 556524-3788, hereinafter referred to as COBS. Terms apply unless the parties have agreed otherwise in writing.

  1. Quotation and price
    1. Quoted price is valid for a period of 30 days from the date of issue of the quotation. Unless otherwise stated, all price information is exclusive of VAT.
    2. For purchase orders going through the Webshop a minimum order fee of 100 SEK is charged for order value of under 500 SEK. For other purchase orders A minimum order fee of 250 SEK is charged for order value of under 2,000 SEK. The fee does not apply to professional services (such as support and billed hours).
    3. Delivery time is 2 to 6 weeks unless otherwise stated.
    4. Conditions not included here but requested by the Client are valid only if expressly approved in writing by COBS.
    5. An offer is accepted if confirmed in writing by the Client. Both parties must agree upon changes desired by the Client to the COBS offer in writing.
  2. Order Confirmation
    1. Only after an order has been confirmed in writing by COBS, has a contract binding for COBS been reached.
  3. Payment
    1. An invoice is due for payment 30 days from the invoice date unless otherwise expressly agreed. If payment is not paid in due time, COBS is entitled to charge interest rates at 1.5% per month.
  4. Delivery
    1. Title and risk – Unless otherwise expressly agreed upon, the title and risk are transferred to the Client at the time of delivery (FCA Incoterms 2020).
    2. Shipping and insurance costs must be paid by the buyer. COBS commits to providing the buyer with the necessary information of importance for the transport and receipt of the goods.
  5. Currency
    1. If currency changes exceed 5%, COBS has the right to adjust the pricelist with immediate effect. However, outstanding quotations may not be adjusted, unless the currency change has been unforeseeable and has significantly affected the purchase price.
  6. Drawings and descriptions
    1. Drawings, technical descriptions etc. are attached to the delivery of the goods to the extent that COBS deems necessary and appropriate.

  7. Liability for delay
    1. In the event where a party deems that a delay will occur upon delivery or acceptance of the goods, the party shall, within a reasonable time, notify the counterparty thereof and indicate when the delivery or acceptance is presumed to take place. If the counterparty does not want to accept the delay, the delayed party must be informed as soon as possible after the notification. Where this does not happen, the counterparty is deprived of the right to cancel the purchase if it is completed within the period specified by the notice.
    2. In the event that COBS does not deliver the goods within the agreed time, the buyer has the right to know from the date the delivery would have taken place. The penalty shall be calculated on the entire purchase price if all goods covered by the purchase were in a prior written agreement to be delivered with all items included in one and the same delivery. If the delayed part is only a partial delivery, the penalty shall be calculated on the part of the purchase price amounting to that partial delivery. Delay penalty is calculated at 0.5% per commenced 7-day period, up to a maximum of 10% of the purchase price. Penalty does not apply to Force Majeure according to item 12.1.
    3. In the event of delay in acceptance of the goods, the buyer shall reimburse COBS for the costs incurred for COBS. The total compensation shall not exceed 10% of the purchase price. Except as provided in paragraphs 7.2 and 7.3, a party is not entitled to compensation for damage other than in connection with cancellation as set out below.
    4. Party has the right to cancel the purchase in cases where the delay is of material importance and the counterparty has realized or should have realized this. In cases where a party has the right to cancel the contract, the party is also entitled to compensation for the damage that may result. The total amount of damages, including the fine, must not exceed 50% of the purchase price.
  8. Return policy
    1. Provided the total value of the return exceeds 500 SEK, goods can be returned up to 1 month from the date of purchase. A delivery note with specified information about the goods, the reason for any agreement and a copy of the invoice must be sent with the returned goods. Returned goods must be unused, in good condition and be in its original packaging. If these requirements are not met, deductions will be made to the credit invoices.
    2. If the return relates to customized goods that COBS has specifically ordered for a client from a sub-supplier, the sub-supplier must first approve the return. If the sub-supplier approves the return, in addition to the aforementioned deductions and fees, the costs that the supplier charges COBS and a deduction for COBS actual shipping costs for delivery to the supplier will be added.
    3. Software licenses, customized articles and last time buy/obsolete models of goods are not returned.
    4. If goods have been incorrectly ordered, or if leftover material is returned, a 30% return on the order value will be charged. If returned item(s) must be restored to original condition before being returned to stock, deductions for the incurred labor cost of 250 SEK per item will be deducted.
    5. In case of incorrect delivery from COBS AB or in the case of double delivery, the entire invoice, including shipping, is credited. Credit invoice is sent within 10 working days.
  9. Liability for defects
    1. COBS is responsible for defects in the goods that appear within the product’s warranty period from the day the goods were delivered.
    2. Unless otherwise agreed upon, the warranty period for hardware is twelve (12) months from the date of delivery or (if installation or acceptance has been agreed upon) from installation or acceptance.
    3. COBS shall not be liable to errors if it is probable that the fault is due to an accident, incorrect storage, incorrect power connection and connection, handling or mounting of the goods, lightning strike or any other condition attributable to the buyer. Furthermore, the warranty does not cover consumables, such as batteries, pull cords, clips, etc..
    4. If a defect is noticed or should have been noticed when the goods were received by the buyer. The buyer must give a formal complaint within one week thereafter. Otherwise, the complaint must be made within a reasonable time after the fault is noticed or should have been noticed. The complaint must be in writing.
    5. The Client must allow COBS a reasonable period to remedy the defects.
    6. In addition to what is stated in these terms, COBS assumes no responsibility for defects in the goods. Thus, the buyer does not have the right to cancel the contract or claim damages. COBS is not responsible for defects in consumables, such as batteries, clips, etc..
    7. Costs, such as transport, insurance, etc. arising from the rectification of a defect or replacement of the incorrect goods shall be borne by the buyer. In the event that COBS carries out repairs at the buyer, COBS is entitled to charge travel time as well as travel and living expenses.
  10. Invoicing
    1. Remarks to invoice must be made in writing no later than twelve (12) days from the invoice date to finance@cobs.se. Enter invoice number and reason for remark.
  11. Right to contain delivery
    1. If the buyer has gone bankrupt, canceled payments or if, for any other reason, it can be assumed that the purchase price will not be paid, COBS has the right to contain delivery until a satisfactory security has been provided. COBS has the right to cancel the contract in the event that such collateral is not provided.
  12. Force Majeure
    1. If the fulfillment of any of the parties’ obligations under this agreement is hampered or prevented by circumstances which the party could not control, such as labor conflict, fire, war, mobilization, requisition, seizures, currency restrictions, rebellion and riots, scarcity of means of transport, general scarcity of goods, errors or delays from suppliers and insolvency of suppliers of the aforementioned circumstances, this shall mean the right to time extension, exemption from the obligation to fulfill the contract and to pay damages or penalty.
    2. It is incumbent on a party who wishes to invoke Force Majeure to inform the other party without delay of its occurrence as well as its termination.
  13. Dispute
    1. Disputes arising from the existence, application and interpretation of this agreement shall be settled by arbitrators in accordance with the Swedish law on arbitration applicable at the time of the dispute. However, COBS has the right to effect payment by the public court of payment of overdue purchase price, together with interest and costs.
